SplitView™ – Terms and Conditions of Purchase and Use

Product: SplitView™ software, plugins, web applications, and related services (“SplitView” or “Software”)
1. Acceptance of Terms
By purchasing, downloading, installing, accessing, or using SplitView, you (“Customer,” “you,” or “Licensee”) agree to be bound by these Terms and Conditions (“Terms”). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
If you do not agree to these Terms, do not install or use SplitView.
2. License Grant
Subject to payment of all applicable fees and compliance with these Terms, Darkline grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use SplitView solely for your internal business or professional design review purposes.
3. Permitted Use
SplitView may be used for digital design review and comparison workflows, visualization of themes, variants, materials, and surfaces, and internal or client-facing presentations.
4. Restrictions
You may not copy, modify, reverse engineer, resell, or distribute SplitView, or use it to create competing products.
5. Ownership & Intellectual Property
SplitView and all related IP remain the exclusive property of Darkline Studios LLC.
6. Fees & Payment
All fees are non-refundable unless otherwise stated in writing.
7. Updates & Support
Darkline may update or modify SplitView at its discretion.
8. Data & Confidentiality
Customer retains ownership of its data. Both parties agree to maintain confidentiality.
9. Warranties & Disclaimer
SplitView is provided “AS IS” without warranties of any kind.
10. Limitation of Liability
Darkline’s liability is limited to the fees paid in the prior twelve (12) months.
11. Indemnification
Customer agrees to indemnify Darkline against claims arising from misuse.
12. Termination
Darkline may terminate access for breach of these Terms.
13. Governing Law
These Terms are governed by the laws of the State of California.
14. Entire Agreement
These Terms constitute the entire agreement regarding SplitView.
